These terms are an agreement between you and Dirkes Medical, PLLC ("we," "us"), the developer of Keepworthy, covering your use of the Keepworthy app for iPhone and Mac. By downloading or using Keepworthy, you agree to them. If you do not agree, do not use the app.
Apple's Standard Licensed Application End User License Agreement ("Apple Standard EULA") governs your license to Keepworthy. These Terms of Use add product-specific terms. If these terms conflict with the Apple Standard EULA, the Apple Standard EULA controls.
1. What Keepworthy is
Keepworthy analyzes the photo and video library on your device to find duplicates and similar items, score photo quality, identify a best shot, suggest albums, and help reclaim storage. Analysis runs on your device and Keepworthy works with your library through Apple's Photos system. When you ask it to, Keepworthy can also create or merge albums and save new items — a smaller copy of a video, or a still frame taken from one. Keepworthy has no user accounts and no server that receives your photos or videos. See the Privacy Policy for the limited Apple services and user-initiated sharing the app supports.
2. Your library is yours, and so are the decisions
Keepworthy makes suggestions. Automated analysis is not perfect, and a "duplicate" or "best shot" may not match your judgment. You decide what actually happens.
Before any deletion, Keepworthy shows a confirmation and Photos asks for system approval. Deleted items move to Photos' Recently Deleted, where they are generally recoverable for up to 30 days unless you permanently delete them sooner. Video compression creates a new copy for you to review before you decide whether to delete the original.
You are responsible for reviewing the items and settings before confirming a deletion or change. Keep an independent backup of irreplaceable photos and videos. If you use iCloud Photos, remember that Apple's syncing behavior may apply a deletion across your devices.
3. Keepworthy Pro and purchases
Some features require Keepworthy Pro. Apple offers Pro through In-App Purchase as a one-time purchase. Keepworthy is configured as a Universal Purchase for iPhone and Mac, and Family Sharing is enabled for the purchase subject to Apple's account, storefront, and family-group rules. Cross-platform availability is subject to Apple's account, storefront, approval, and availability rules.
- Payment. Apple processes all payments and payment details.
- One-time purchase. The purchase grants the Pro features without a recurring charge. A purchase already completed is not affected by later price changes.
- Refunds. Apple administers purchases and refund eligibility. We cannot issue App Store refunds directly. You can request one at reportaproblem.apple.com.
Apple, not Keepworthy, is the merchant for an App Store purchase. Apple presents the purchase sheet, takes the payment, holds the payment details, applies your storefront's price and tax, administers Family Sharing and restoring a purchase, and handles refunds — along with any billing, cancellation, or renewal mechanics if a subscription plan is ever offered. We never see or store your payment information and cannot charge you directly. If you live in the EEA or the United Kingdom, the statutory cancellation and refund rights for an App Store purchase are administered by Apple as the seller, through Apple's Media Services Terms and reportaproblem.apple.com.
Keepworthy does not currently offer an annual subscription. Prices and availability can vary by storefront and may change. The system purchase sheet shows the current price before you confirm.
4. Acceptable use
Use Keepworthy only with a photo library you have the right to manage. Do not use the app to violate law or another person's rights, interfere with the app's operation, or copy, reverse-engineer, decompile, resell, or redistribute it except where applicable law or Apple's terms allow.
5. Intellectual property
Keepworthy's software, design, name, and marks belong to us or our licensors and are licensed, not sold. Your photos and videos remain yours. These terms give us no ownership right in your content, and Keepworthy does not receive your photo or video content, except in a diagnostic file you choose to send us.
6. No warranty
To the fullest extent permitted by law, Keepworthy is provided "as is" and "as available," without warranties of any kind. We do not warrant that Keepworthy will be uninterrupted or error-free, that its analysis will match your judgment, or that it will identify every duplicate or always rank an item correctly.
Nothing in these terms excludes warranties or consumer rights that cannot lawfully be excluded. The Apple Standard EULA contains additional warranty terms, including Apple's limited refund obligation if the app fails to conform to an applicable warranty.
7. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of photos, videos, data, profits, or business opportunities arising from your use of Keepworthy. Where liability cannot lawfully be excluded, our aggregate liability arising from Keepworthy will not exceed the amount you paid for Keepworthy.
These limitations do not apply where prohibited by law, including to liability that cannot be limited under applicable consumer-protection law. Recently Deleted and Keepworthy's confirmation steps reduce risk but do not replace your own review and backup.
8. Apple and third-party services
These terms are between you and us, not Apple. We, not Apple, are responsible for Keepworthy and for addressing claims about it, including product-liability, regulatory, consumer-protection, privacy, and intellectual-property claims. Apple has no obligation to provide maintenance or support for Keepworthy.
Keepworthy relies on services Apple provides, including Photos, PhotoKit, iCloud when you enable it, MapKit, geocoding, StoreKit, and the App Store. Your use of those services must comply with Apple's applicable terms. Your carrier's data terms may also apply.
Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
9. Changes to Keepworthy or these terms
We may update Keepworthy and these terms as the app changes. If the terms change, we will update the date above, and the updated terms take effect on that date going forward. If law requires additional notice or consent, we will provide it. If you do not agree to updated terms, stop using and delete Keepworthy.
We may discontinue Keepworthy or particular features. Any change to paid access remains subject to Apple's rules and applicable law.
10. Governing terms
The governing-law and dispute provisions in the Apple Standard EULA apply to your license and use of Keepworthy, subject to any mandatory rights and laws that apply where you live.
11. General terms
- Severability. If a term turns out to be unenforceable, the rest still applies, and that term is narrowed or removed only as far as necessary.
- No waiver. If we do not enforce a term right away, we have not given it up.
- Transfer. You may not transfer these terms to anyone else. We may transfer them to a successor in a merger, acquisition, or sale of the business, without reducing your rights under them.
- Ending your use. You can stop at any time by deleting the app. Sections 5 through 8 and this section survive. If you seriously breach section 4, your license may end; whether a purchase is refunded is Apple's decision, not ours.
- Where the app may be used. Do not use Keepworthy where United States export law or sanctions forbid it, and do not use it if you are on a United States restricted-party list. If you are a United States government user, Keepworthy is commercial computer software provided with only the rights granted here.
- Whole agreement. These terms and the Apple Standard EULA are the entire agreement about Keepworthy between you and us and replace earlier drafts and statements. Nothing here limits rights you have under the consumer law where you live.
12. Languages
These terms are published in several languages so you can read them in the language your device uses. The English version is the original. If a translation and the English version differ, the English version governs, except where the law where you live requires the local-language version to control.
